These terms and conditions (these “Terms”) apply to the Cruze4Cash affiliate program (“Program”) provided by Cruze4Cash (hereinafter “We” or “Company”). By registering to participate in the Program, you acknowledge and agree that you have read all of the terms and conditions set forth in these Terms and you agree to be bound by these Terms.
We reserve the right to change or modify any of the terms and conditions contained in these Terms at any time and in our sole discretion by providing notice that these Terms have been modified. Such notice may be provided by (a) sending an email to the email address you provide when registering for the Program, (b) posting a notice on our application or website, (c) posting the revised Terms on the application or website and revising the date at the top of these Terms, or (d) such other form of notice as determined by Company. Your continued participation in the Program will constitute your acceptance of such changes or modifications to these Terms.
YOU CONFIRM THAT YOU ARE NOT AN EMPLOYEE, CONSULTANT, AGENT, OWNER, OR INDEPENDENT CONTRACTOR FOR ANY COMPETITOR OF COMPANY.
For the purpose of these Terms, you, constitutes “you” or “Affiliate”.
User constitutes someone You have referred to the program who has signed up under your unique referral code.
In order to participate in the Program, you must complete the Program registration form provided via the affiliate platform made available on the Application (“Affiliate Platform”) and you must be accepted into the Program by Company. If accepted, we will notify you. You agree to provide accurate, current and complete information about you as may be prompted by the Program registration forms via the application.
Subject to the terms and conditions of these Terms and solely during your participation in the Program, Company grants you a non-exclusive, non-transferable, limited license to use Company’s trade names, trademarks, service marks, symbols, and logos, and the assets, copy, and discounts provided to Affiliate by Company through the Affiliate Platform (collectively, “Company Assets”) solely to participate in this Program. Except as set forth in this paragraph, nothing in these Terms grants to you any right, title, or interest in or to any of the Company Assets, and, all use of the Company Assets will inure solely to the benefit of Company. Affiliate will promptly notify Company of (a) any known use by any third-party of any Company Assets, or (b) any known use by any third-party of similar trade names, trademarks, service marks, symbols, or logos which may constitute an infringement or “passing off” of Company’s trade names, trademarks, service marks, symbols, or logos.
I. None of the Company’s Assets may be modified without Company’s prior written consent in each instance.
II. Affiliate will never represent its relationship with Company in a false or misleading. way, and Affiliate will not use deceptive, misleading, illegal or unethical practices in fulfilling any of its obligations under the Program or these Terms.
III. Affiliate may not engage in any conduct that is likely to result in retaliation against Company or its employees, officers, directors, contractors or other agents.
IV. Affiliate may not use any inappropriate techniques (including, but not limited to, cookie stuffing, misleading links, masking of the referral link, redirects, repeated manual clicks, using robots or automated query tools, using computer-generated search requests, and/or fraudulently using other search engine optimization services and/or software) in an attempt to defraud Company.
V. Affiliate will not bid on any Company keywords or similar keywords unless Affiliate has received prior written approval from Company.
I. All of Affiliate’s marketing costs with respect to the Company program will be the responsibility of Affiliate.
II. Affiliate may not create websites or advertisements that copy or resemble the look and feel of any of Company’s properties without Company’s prior written consent.
III. Affiliate may not offer coupons or incentives as a part of its marketing efforts unless approved in advance by Company.
IV. Affiliate may not create any domains, sub-domains, or handles that use any of Cruze4Cash’s trade name, trademarks, service marks, symbols, or logos.
V. Affiliate must abide by all applicable laws and regulations including, but not limited to, the CAN-SPAM Act of 2003 (Public Law No. 108-187).
VI. Affiliate must ensure that all emails from Affiliate show that they are from the Affiliate in the from line and no email can look like they are coming from Company.
VII. Affiliates may not bid on Company branded keywords.
Your website, business, or social media platforms (including, but not limited to, any marketing materials created by you or a third party acting on your behalf) must not contain any messages, text, materials, data, information, software, audio, art, images, photos, video, graphics, or other items or materials that may reasonably:
I. Violate any laws or regulations.
II. Infringe or violate any copyrights, trademark rights, patent rights, trade secret rights, rights of publicity, rights of privacy, or any other rights of Company or any other individual or entity.
III. Be considered defamatory, obscene, threatening, inflammatory, malicious, harassing, offensive, hateful, or harmful to any individual or entity.
IV. Be considered obscene, pornographic, indecent or sexually explicit or that constitutes, fosters or promotes pornography or bestiality.
V. Depict graphic, excessive, or gratuitous violence.
VI. Be false, misleading, or deceptive.
VII. Store or transmit any material that contains software viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, corrupted data, or any other computer code, files. or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
You must achieve the following in order to be eligible for a commission payment.
I. The user you referred to the Program has been a subscriber for a 90 day period. On the 91st day their spending within the app (absent the subscription cost) will qualify for a commission if qualification II. below is also met.
II. On the 91st day and beyond, the Users who have signed up under You have met qualification I and the total percentage of subscription calculation equals $250 or more. Commissions are calculated based upon the subscription plan price multiplied by their percentage tier seen below in Example A.
Example A: Affiliate refers User A who selects the Beginner Package for $79.97. Affiliate has referred less than 50 users. User subscription will be calculated as follows: $79.97 x 15% = $11.99. Assuming the affiliate has no other users and does not meet the $250 minimum there will be no payout. Because User A has not been signed up for 90 days, their $11.99 would not qualify towards the calculation of affiliates payout.
Commissions shall be calculated based on tiered system:
I. You will receive 15% of the monthly plan fees once all qualifications have been met for the first 50 referred subscribers.
II. You will receive 20% of the monthly plan fees once all qualifications have been met for the referred subscribers 51-250.
III. You will receive 25% of the monthly plan fees once all qualifications have been met for referred subscribers above 250.
Example of Tier System:
Affiliate has referred 75 Users. Each User has been on the program for 90 days and the total payout amongst the users is greater than $250. The payout percentage will be as follows:
i. For Users 1-50: 15%
ii. For Users 51-75: 20%
Affiliate has referred 325 Users. Each User has been on the program for 90 days and the total payout amongst the users is greater than $250. The payout percentages will be as follows:
i. For Users 1-50: 15%
ii. For Users 51-250: 20%
iii. For Users 251- ♾: 25%
Once a tier has been achieved the following users will be considered for the next tier. If you fall below a tier that you have already achieved, you will not be eligible for that tier until you have referred additional users that qualify for that next tier and they meet the qualifying criteria listed above in Calculations of Commissions.
Once a user has cancelled their subscription they will no longer count towards the Calculation of Commissions. However, if that user shall return to the app their subscription will again be counted towards the Calculation of Commissions if they have met the 90 day requirement prior. If a user has not met the 90 day requirement prior the user will not be counted towards the Calculation of Commissions until they have met the 90 day requirement.
Once a user that you have signed up has met the qualification above of being on the program for 90 days, any commissions accrued will be stored and paid once you have accrued $250 in commissions across all users. If you fall below the threshold of $250 then you will not get paid for that month. However, whatever is stored in your account will roll over to the next month and be paid once you reach the $250 threshold again.
Example A: Affiliate refers User A who selects the Beginner Package for $79.97. Affiliate has referred less than 50 users. User A’s subscription will be calculated as follows: $79.97 x 15% = $11.99. Assuming the affiliate has no other users and does not meet the $250 minimum there will be no payout for that month. However once User A has been signed up for 90 days, their $11.99 would qualify towards the calculation of affiliates payout when the aggregate of all qualified users commissions totals $250 or greater.
You will be paid via PayPal within 60 days from the 1st of the month in which you qualify.

TERM & TERMINATION:
Your participation in the Program will begin when you are accepted by Company into the Program. Company reserves the right, but does not have any obligation, to monitor or police activity in connection with the Program. If Company reasonably believes that you have violated any of the terms or conditions of these Terms, in addition to other available remedies, your participation in the Program will immediately terminate.
Also, your participation in the Program may terminate if (a) you notify Company that you would like to terminate your participation, or (b) Company otherwise terminates your participation.
If your participation in the Program is terminated due to a violation of these Terms, any outstanding commissions earned will be forfeited by you. If your participation in the Program is terminated for any other reason or you elect to terminate your participation in the Program, any outstanding commissions up to the effective date of such termination will be paid to you within 60 days of the effective date of such termination.
In accordance with FTC and other local and federal requirements, You agree to disclose to this affiliate relationship to potential prospects.
These Terms set forth the entire agreement and understanding of You and Company relating to the Program, and supersede all prior or contemporaneous agreements, proposals, negotiations, conversations, discussions and understandings, written or oral, with respect to such subject matter and all past dealing or industry custom. These Terms will be governed by and construed in accordance with the laws of the State of Wyoming, without resort to its conflict of law provisions. IN NO EVENT WILL (A) COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, ANY INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF MUD\WTR HAS BEEN ADVISED OR IS OTHERWISE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, AND (B) COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY COMPANY TO YOU PURSUANT TO THESE TERMS DURING THE SIX MONTH PERIOD PRIOR TO THE ACCRUAL OF THE FIRST CLAIM. MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION. Neither party will, for any purpose, be deemed to be an agent, franchisor, franchise, employee, representative, owner or partner of the other party, and the relationship between the parties will only be that of independent contractors. Neither party will have any right or authority to assume or create any obligations or to make any representations or warranties on behalf of any other party, whether express or implied, or to bind the other party in any respect whatsoever. You may not assign, delegate, or transfer (by sale, merger, operation of law, or otherwise) these Terms or any right, title, interest, or obligation hereunder without the prior written consent of COMPANY. Any attempted or purported assignment, delegation, or transfer in violation of the foregoing will be null and void and without effect. If any provision of these Terms is invalid, illegal or incapable of being enforced by any rule of law or public policy, all other provisions of these Terms will nonetheless remain in full force and effect so long as the economic and legal substance of the transactions contemplated by these Terms is not affected in any manner adverse to any party. Upon such determination that any provision is invalid, illegal or incapable of being enforced, the parties will negotiate in good faith to modify these Terms so as to effect the original intent of the parties as closely as possible in an acceptable manner to the end that the transactions contemplated hereby are fulfilled. Any waiver by Company of a breach, default, delay or omission of any of the provisions of this Agreement by You will not be considered as a waiver of any subsequent breach of the same or other provisions. You agree that communications and transactions between us may be conducted electronically.
Month 1
User A signs up on the 1st of the month for the Beginner Plan for $79.97. We would take the $79.97 multiplied by 15% to determine potential commission. This user would then generate $11.99 calculated towards the $250 minimum to receive a payout. However, you are not qualified to receive a commission as User A has not been signed up for a 90 day period, and your aggregate of commissions for qualified Users falls below the $250 minimum.
User B signs up on the 1st of the month for the Hustler Plan for $127.97. We would take the $127.97 multiplied by 15% to determine potential commission. This user would then generate $19.19 calculated towards the $250 minimum to receive a payout. However you are not qualified to receive a commission as User B has not been signed up for a 90 day period, and your aggregate of commissions for qualified Users falls below the $250 minimum.
User C signs up on the 1st of the month for the Gravy Train Plan for $179.97. We would take the $179.97 multiplied by 15% to determine potential commission. This user would then generate $26.99 calculated towards the $250 minimum to receive a payout. However you are not qualified to receive a commission as User C has not been signed up for a 90 day period, and your aggregate of commissions for qualified Users falls below the $250 minimum.
User D signs up on the 1st of the month for the Elite Plan for $249.97. We would take the $249.97 multiplied by 15% to determine potential commission. This user would then generate $37.49 calculated towards the $250 minimum to receive a payout. However you are not qualified to receive a commission as User A has not been signed up for a 90 day period, and your aggregate of commissions for qualified Users falls below the $250 minimum.

If more than 90 days have passed at the conclusion of this calendar month you will have qualified to receive a commission.
User F renews on the 30th of the month for the Gravy Train Plan for $179.97. We would take the $179.97 multiplied by 15% to determine potential commission. This user would then generate $29.99 calculated towards the $250 minimum to receive a payout. However you are not qualified to receive a commission as User F has not been signed up for a 90 day period and the $250 minimum has not been met.
